UVA Institute of Business Management (UIBM)

SECTION 1: LEGAL STATUS & ACCEPTANCE

This Terms of Service and User Agreement (“Agreement”) constitutes a legally binding contract between UVA Institute of Business Management (UIBM) (“Institute”, “We”, “Us”) and the user (“User”, “You”).

By accessing, registering, enrolling, or using this website, Learning Management System (LMS), or any services offered by UIBM, you expressly agree to be bound by this Agreement in accordance with:

  • Electronic Transactions Act, No. 19 of 2006

  • Consumer Affairs Authority Act, No. 9 of 2003

  • Applicable Laws of the Democratic Socialist Republic of Sri Lanka

If you do not agree, you must immediately discontinue use of the platform.


SECTION 2: ELIGIBILITY & USER CAPACITY

  • Users must be 18 years or older.

  • Users aged 16–18 years must obtain written consent from a legal guardian.

  • The User must legally qualify as a “Consumer” under Sri Lankan law.

  • Providing false personal information constitutes fraud and may result in permanent termination without refund.


SECTION 3: ACADEMIC INTEGRITY & CERTIFICATION

Identity Verification

  • A valid NIC or Passport is mandatory for certification.

  • Certificate names must exactly match legal identification.

  • No name changes will be permitted post-issuance.

Academic Misconduct

The following are strictly prohibited:

  • Plagiarism

  • Contract cheating

  • Proxy examination

  • Unauthorized AI-assisted submissions

  • Copying or sharing assessment content

Penalty:
Immediate termination, certificate revocation, lifetime blacklist, and no refunds.

Certification Criteria

Certificates are awarded only if:

  • 100% course completion is achieved

  • All assessments and examinations are successfully passed

  • Financial obligations are fully settled


SECTION 4: CYBERSECURITY & ACCEPTABLE USE

UIBM maintains a zero-tolerance cybersecurity policy.

Prohibited activities include but are not limited to:

  • SQL Injection

  • Server exploitation

  • Data scraping

  • Reverse engineering

  • Credential harvesting

Such actions constitute criminal offenses under the Computer Crimes Act, No. 24 of 2007, and may lead to criminal prosecution.

Account Usage

  • One account = One user

  • IP tracking & behavioral analytics are enforced

  • Simultaneous multi-location logins will trigger automatic suspension


SECTION 5: INTELLECTUAL PROPERTY RIGHTS

All materials including:

  • Videos

  • PDFs

  • Lecture notes

  • Examination papers

  • Source codes

  • LMS structures

are the exclusive intellectual property of UIBM, protected under the Intellectual Property Act, No. 36 of 2003.

Strict Prohibitions

Users shall not:

  • Download (unless authorized)

  • Screen record

  • Reproduce

  • Redistribute

  • Sell or sublicense content

Violation will result in civil & criminal legal action, including claims for liquidated damages.


SECTION 6: FEES, TAXATION & REFUNDS

Taxes

All fees are subject to prevailing:

  • VAT

  • SSCL

  • Government levies

Refund Policy

  • Before First Login: 50% refund (administrative deductions apply)

  • After Login: 0% refund (digital services deemed consumed)

Installments

  • 7-day grace period applies

  • Non-payment results in automatic suspension

  • Access resumes only upon full settlement


SECTION 7: DATA PRIVACY & CONFIDENTIALITY

UIBM complies with the Personal Data Protection Act, No. 9 of 2022.

  • Personal data is securely stored

  • No sale or trade of user data

  • Limited disclosure only under lawful authority


SECTION 8: DISCLAIMER & LIMITATION OF LIABILITY

  • Services are provided “AS IS”

  • No guarantee of employment, promotion, or income

  • UIBM is not responsible for user career decisions

Force Majeure

UIBM is not liable for interruptions caused by:

  • Power failures

  • Internet outages

  • Government restrictions

  • Natural disasters


SECTION 9: TERMINATION & SUSPENSION

UIBM reserves the right to:

  • Suspend or terminate accounts

  • Revoke certifications

  • Deny future access

without prior notice for any breach of this Agreement.


SECTION 10: ASSIGNMENT & SEVERABILITY

  • UIBM may assign rights to successor entities

  • Users may not transfer accounts

  • Invalid provisions shall not affect remaining clauses


SECTION 11: GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed exclusively by Sri Lankan Law.

Disputes shall:

  1. First attempt amicable resolution

  2. If unresolved, fall under the exclusive jurisdiction of the Civil High Court of Sri Lanka
